The BOTTOM LINE is, this stock was both suspended and revoked because there was irregular trading activity during the 10 day window starting the day the form 15-12g was filed. Company already deliquent on financial reports for over 8 years. SEC saw that "certain" people were pumping this as a reverse merger play which is a completely unproven rumor and they had to step in to prevent further potential investors from getting wiped out. i did the RIGHT thing by filing a complaint last night, got them to look at this, and stopped it just in time.

This stock is now worth $0. Atleast in FNLH you could sell in the triple zero areas and get back 1-2% of your investment. The SEC both suspended and revoked this stock, it will never trade on any market ever. sad to see how many people bought in here thought there was a reverse merger, same thing happened to FNLH. IMO this was stopped just in time because if this traded today, more people would be exposed and more money would be wiped out.

Same thing happened here in Fineline Holdings (FNLH.pk)
in July, they filed a form 15-12g to de-register stock, they were deliquent on quarterly reports since 2004 and the SEC watched the stock for 10 days, finally they suspended the stock and now in process of revoking it. Once you file a form 15, you will be under the radar of the SEC and if they find any irregular trading activity it will suspend it, evidently people here were spreading rumors of reverse merger, a rumor that is probably not true, and many potential investors were in danger here so the SEC stepped in. I learned a lesson and i lost money in FNLH, i reported this stock to the SEC last night because i wanted to protect potential investors from losing here too.

I was the one who filed two complaints last night to the SEC and got them to look into this stock.
Manipulation of trading price and failure to file financial reports.
The SEC monitors companies that file form 15-12g's for a window of 10 trading days and if it finds any suspicious/irregular trading activities it will suspend the stock. In this case, i only asked the SEC to suspend it, i had no idea it was already revoked under a previous order. looks like one rock killed two birds here.

Ya, it's been that way since the AM. Since when does a stock get revoked when they have filed a form 15? I thought the reason a form 15 is filed is so the security wouldn't get revoked?

This makes no sense to me.

This is looking like a mistake to me. Pink securities can get revoked if they don't file a Form 15. Being that FDSM did, I don't see a problem.

If there was some fraud taking place, the stock would be haulted not revoked imo.

Havent found anything other then from pinksheets.... Looks like registration was revoked in 2008 for a period not to exceed 12 months would mean Oct 2009 ... so dont know how this would be a problem now

The judge in the proceeding will then determine whether the registration pursuant to Exchange Act Section 12 of each class of the securities of the respondent should be revoked or suspended for a period not exceeding twelve months.

And here is the email response, just in from pinksheets:

We received a message from the United States Securities and Exchange Commission, Division of Enforcement that the revocation order for Karts International Incorporated applies to this symbol as well because it is a successor.

The revocation order is available online at http://www.sec.gov/litigation/admin/2008/34-58468-o.pdf . It looks like they may not have been aware that the company had already changed its name when it issued the original order against Karts.
