@Fidelity - $AMC announced a special dividend of 1 AMC Pf. Equity unit (symbol $APE) for each share of AMC common stock outstanding at close of business on Aug. 15. The dividend is expected to be paid at the close of business on Aug. 19. This is not a cash dividend.

I'm in $AMC for the MOASS squeeze only. Why this preferred equity dividend at this time, even New York Angelo isn't too sure what the deal is. And as pointed out this is not the first time Popcorn tried to dilute shares, although this will not be a straight up dilution. If this triggers an investigation after the proxy comes back and stops the squeeze from happening, then we will know the intentions of why he did what he did.

And if this squeeze is ruined by an inappropriate action many will be very spiteful for sure. $GME diluted and now $AMC. Is there a pattern here~?

How does the issuance of AMC Preferred Equity work?

AMC will issue shares to Computershare their transfer agent. Computershare will send the shares to Depository Transfer Company DTC who will transfer the APE shares to various brokerages for distribution to the shareholders on date of record as of August 15, 2022. Shares will be in AMC shareholders brokerage accts on August 19 and APE shares will trade on NYSE August 22....this is JMO
It's up to DTC to find shareholders with real shares!!!!

Regarding taxing it is my impression dividends are taxed as ordinary income but stock splits are not taxed but please reference the article below for more info...

KICK and all, I jumped the gun with the preferred equity shares symbol $APE.

It was a master stroke by Adam Arron, but not to help #AMCINVESTORS with the squeeze. Squeeze ia already happening. We already know there are billions of phantom, synthetic shares out there. Checking out NYA after this.

I will not be voting for this nonsense. $APE is a penny to later be turned into $AMC shares which is for dilution. It helps the other side hide synthetics. And if the share count comes back a billion over the float it gets reported to the SEC and game over for this play. Possibility It gets halted, investigation.

Was wondering why Cramer seemed happy. Popcorn is not helping us. We ALREADY KNOW this play is NAKED SHORTED TO THE HILT and MORE.
We don't need a share count to confirm brokers have over sold $AMC. We know that. So why is Popcorn doing this~?

Now it makes sense. Popcorn is helping his buddies, "them", not us. IMNSHO.
Brilliant maneuver, it fooled me until I read between the lines.

I'm not here for $AMC long-term. Just give me the squeeze please, and I'll be on my way.

Will check out New York Angelo next. He seemed baffled on Thursday as well with these preferred equity shares and said he would have to study it further.

I love this move by Adam Arron.

We get to see the abuse of the float soon. Only supposed to be 512 million shares in the float. If preferred equities come in much higher then there are as many FTDs as extras above the float count. Smart move this 1 for 1. Separate from the real shares as in dividend shares with a different ticker. Master stroke.

They are caught with nowhere to run, nowhere to hide.
It will be exposed all the way. Simple, logical, and effective.

Motley Fool put an article out saying $AMC to tumble today.
Others saying $12 stock price today.

Everyone had it backwards. Motley's article should have said "Rumble" instead of "Tumble". Rich Duprey should change his name to Po Duprey.

Of course it will. And as soon as it trades look for AMC to sell new shares into the market. AA said they obviously won't tap all 4.5 Billion preferred shares now available, but it is clear they will tap a lot.

And, AA and the company will now reportedly have 4.5 Billion preferred APE units to sell to raise cash and further dilute after issuing the 517 Million shares to current common holders.

The company's new move to instead offer preferred equity units is a workaround to that constraint, and frees up a substantial number of units that it could sell as it continues to face challenges due to the continuing Covid-19 pandemic, a person familiar with the matter said.

After offering the 517 million Ape units as a dividend to shareholders, AMC will still have close to 4.5 billion remaining units that could be sold, according to securities filings.

As Adam Aron explained this am on CNBC, this was a work-around due to the fact that they had no additional common shares to sell to raise more cash. This gave them 5 Billion new preferred shares to either sell or give to execs. AMC is putting out around 10% in the APE dividend and will then have around 4.5 Billion additional preferred shares (APE) to sell.

Hunchbackgeek, I saw PistolPete has a position in $AMC, Always a good sign. You guys are very savvy investors, and it is an honor to be on the same wavelength with you.

Ya know, I thought the #POUNCE was going to be something else, and this really was a pleasant surprise.
In the end I think this AMC Preferred Equity dividend will have something to do with share count.

My guess is that this was as much a surprise to the naked shorts as it was to us. Also tend to think Adam Arron and company learned from the $GME stock dividend. This was thought out. They are not just winging it.

How cool is it for retail investors to thumb their noses at the other side with a Preferred Equity symbolized $APE~? LOL~!

Very original and very smart.
Now let's watch the other side downplay it like it means nothing. Too funny. Let them burn their money trying to stop this train. $AMC not going bankrupt anytime soon.
