There's nothing to file with the SEC to get off the greys.

Is this a reporting company? If so, they need to stay current with all reports. Beyond that, they'll have to find a sponsoring MM to carry out the 15c2-11 requirements.

Not an easy thing because the MM is then vouching for them and can get in trouble if anything turns out to be hinky.

Honestly, no one knows what type of value the CEO has for us until its filed with the SEC.

Once it's filed with the SEC than we'll see what type of value we actually have, if it's not filed with the SEC...pure speculation. Happens all the time with the pink sheets.

I agree, but in penny land anything is possible just hoping for positive results. Someone could have reported the stock to the SEC, or it could have been just like the IRS "its your turn to be audited," for the reason CLWL were selected today.

I only have a starter position in here, but it's still a position that's just sitting, unless the CEO is being honest than I have no problem waiting within the six weeks like he mentioned:

no, that's sumpin else entirely.

This is about "pennies," OTC issues, not stocks traded on an exchange. When the SEC suspends, it requires MM's to stop publishing a quote, that is, a bid and ask. Once that happens on *any* OTC stock for four days, it "goes grey," but in these cases it's enforced by the regs, ie, the suspension, which lasts ten trading days.

When the suspension ends, it *can* trade but only on an unsolicited basis; thus, trades are said to be "matched." In other words,trader A wants to sell 10,000 shares. For that to happen, there needs to be a buyer for the 10,000 shares on the other side--or 10 buyers wanting 1,000 shares. That's the simplistic view; actually trades can be aggregated or someone can get a partial fill. And MMs can trade for their own accounts, but can't "make a market."

Bottom line, it's like throwing darts, blindfolded, in a dark room.

If an issue is heavily traded, for instance has a "cult" of Kool Aiders, savvy, experienced traders will sometimes jump in the first day or two and get some cheapies to sell back in the high range (whatever that is) to the Kool Aiders who are convinced it's a "buying opportunity"--which it almost never is. With no MM to make a market, regardless of how well it initially trades, the end result is a downward spiral of lesser PPS and dwindling volume.

Truth is, once a stock goes grey, it almost never recovers. To get off the greys, the company has to find a willing MM to sponsor it by filing a Form 211, described as the 15c2-11 process, which is the driving regulation. Basically, the company has to have the actual or equivalent of audited financials.

Tex, Could you please help me a little? What does it mean when a stock is grey? I have never owned a grey stock before.. what are the dis-advantgages.. I googled it, but there did't seem to be much on it except it was considered a "pre IPO stock".. is that bad?

I've been trying to get a full position below .002, unless we get news by Oct 26th it shouldn't be a problem...unfortunately...lol

If the CEO is telling the truth as he sent me an email this past Sunday, stating the filings should be completed within 6 weeks. If so, we're still doing good...just another delay in penny land. Will not be a surprise either way.

You are right..

I am new into pinkies and just started trading early this year in them. It seems though, if you are attentive and quick, there is money to be made in them.. Of course you can lose a lot of money also.. I have fun doing it, I don’t play the lotteries or buy stock with money I can’t afford to lose. This one may run.. When I spoke to David, he seemed genuinely convinced it would again. Don’t know, as you said, it could be tomorrow or a year from now..

OK.. I think I have gotten all the information I am going to get from the company until the press release.. The company’s CEO is David Shorey.. He seems like a nice enough guy. He took over months ago to find a merger candidate.. I have spoken to him twice recently.. The first time he said they were getting audited financials done so the could report and that there was a pending merger. He also said to look for the stock to be very active again because of the interest there has always been in the company. When pressed about where he thought the PPS would go to, he just laughed and wouldn’t say, only that it wouldn’t stay down where it was now. When pressed further he simply said that much of what he said might be construed as inside information, and basically has not come forth with more info. I have also sent him some emails which he has answered. No new information except that the company was a clean shell with no debt and to look for a press release soon. The company ticker is CLWL. Apparently and he has found a company to merge with. He owns an accounting firm in Texas. I tried to cut and paste the emails so everyone could see them but for some reason have not been successful. If you want to send me your private email I will forward you what I have which is not much more than what I have said here. I hope this information is helpful and what you were looking for.. please let me know your thoughts after you have had time to think about this. I know several stockholders in this company and all are excited to hear something might finally happen here.
