Entry Material Agreement



ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.
On January 25, 2005, Jupiter Global Holdings, Corp. (the "Registrant") entered into a definitive Agreement and Plan of Acquisition (the "Agreement"), with Promostafing.com LLC ("Promo Staffing"), a Florida corporation and Mr. Cory Sklar, as previously reported by the Registrant in the Current Report filed with the Commission by the Registrant on January 27, 2005. It its Current Report filed with the Commission on January 27, 2005, the Registrant reported that the closing date was scheduled for February 28, 2005. This Amended Current Report on Form 8-K/A is being filed to disclose that the Registrant has postponed the closing date of the Agreement with Promo Staffing and Mr. Cory Sklar until April 18, 2005. This postponement is due to an unforeseen delay in completing the final valuation of Promo Staffing as required in the Agreement.

The bottom is the price prior to the R/S. Just check out the other recent bad thinks: GMSV, GAVD (the R/S champion), ZANN, IDGC, PLMI & JRVC, after the last R/S. Although they've been all pumped (using a large, high pressure compressor), they ALL went DOWN to the original, that is the price prior to the large R/S.

If someone, however, feels like gambling, here are two other bad thinks that might make it: CYBT, MMON (I recommend these two at the present PPS price), and probably NEXH. At least these already started to make some money.

LIVESTAR Entertainment Group Inc. in Discussions to Acquire $3.2 Million in Wireless Telecom Assets to Support Its VOXBOX Service

LAS VEGAS, NV--(MARKET WIRE)--Jan 25, 2005 -- LIVESTAR Entertainment Group Inc. ("LIVESTAR" or the "Company") (OTC BB:LVSG.OB - News) announced today it has entered into discussions to acquire approximately $3.2 Million in wireless telecom assets from Global Bancorp Inc. ("Global") to support and expand our joint VOXBOX initiative.

These wireless assets consist of wireless communication towers and back-up systems that can be configured to cover a city with a core population base of up to 1.5 Million, such as Vancouver or Seattle. Global has had an independent evaluation and the assets have a replacement cost of $3.2M USD dollars.

The key to this acquisition is that with this wireless infrastructure, VOXBOX can activate an enterprise-level VoIP solution. These quality wireless assets will enable VOXBOX to penetrate the small and medium business market and multi-density residential buildings. This service offering could not only double or triple VOXBOX's revenue potential but also increase VOXBOX's appeal as a possible future takeover target by a VoIP competitor.

Ray Hawkins, CEO of LIVESTAR, commented: "We expect these discussions to continue towards the execution of an asset purchase agreement within the next three weeks. Hearing rumors of more news this week. Going up.

Gold, that's what I thought a bit more than 1 year ago, after another series of pump-type PR's. Fortunatelly I sold it (at a small loss) as soon as I realized it's nothing to it, but lies, lies, and again lies.

If you care to learn the whole story, do your DD, but do it well. These guys are promissing you the moon, but they never deliver.

Other planned acquisitions, such as the Las Vegas Footwear Company, are likely to follow a similar approach to the Promo Staffing structure, but the Company will make the best decision for each acquisition on a case by case basis.

LVSG - News clears up miscommunication

LAS VEGAS, NV--(MARKET WIRE)--Jan 20, 2005 -- LIVESTAR Entertainment Group Inc. ("LIVESTAR" or the "Company") (OTC BB:LVSG.OB - News) today provides clarification on its recent Form RW filing made with the Securities and Exchange Commission on January 18, 2005.
The de-registration of the 4,990,000,000 S-8 common shares was accomplished by its S-8 POS filing filed January 6, 2005. Those shares are no longer available to be issued by the Company.

The initial filing on January 3, 2005 to execute the de-registration was filed under the wrong form type called a POS AM. Because of this, the Company's attorney's promptly filed the de-registration under the correct form type as per the above mentioned S-8 POS. The use of the wrong form type was a mistake made by the Company's EDGAR filing agent. In order to fully complete the correction, the RW form was filed to cancel out the mistake of the POS AM.

LVSG - rocking

I'm familiar with LVSG from way back. I know all about the previous R/S's and s8's ... As you can see from recent filing and PR's, the company is moving ahead, getting past it's questionable practices and building real value into the company. Do your own DD.

Just a warning, I see you guys pumping this stock all over God's creation, so I figured I'd let you in on a little secret. CEO Ray Hawkins, if that is his real name, has done nothing during his history of CEO of this company but steal from shareholders and repeatedly lie to them for his and his circle of friends' personal gain. Do your own due dilligence, I know stockpatrol had a legitimate article on this coward that it wrote up, which if you search hard enough, you will be able to find.

This stock is nothing but a repeated pump and dump scam in which Ray Hawkins, through a company he owns is able to flip shares, read deep into the SEC filings, it's all there, they take advantage of lazy traders looking for get rich quick stocks. Please heed my warning. Unless Ray has seen the light, he is up to his same old tactics. Wouldn't be surprised of more reverse splits in the future as well. For instance, go to bigcharts and pull up a 4-year chart, LVSG has gone from (a split-adjusted) $3,100/share to now at .046/share. This just goes to show how inadequate and fraudulent management is.

Any one have a reasonable strategy on getting in tomorrow? All of my cash was tied up today and couldn't make it happen. Sorta got screwed chasing CYOS today and don't want that to happen. Haven't traded for 4 years and just got back into it 2 weeks ago (sudden freetime lol) and wanna get back into it w/losing my ass.

This is the crucial moment, I myself could bank out with a 5 grand profit right now but I am doing the smart thing and HOLDING. We are buying up the float on this baby and if we can resist the immediate temptation this can take ALL of us to an early retirement. HOLD for those .20s and .30s. People say less people say more, but NOBODY says under .13 target. There is a reason for that, with this low float, shares being canceled, no R/S, this thing CAN and WILL go to the moon if we are disciplined and mature enough to be patient and not run off like little kids with small peices of candy when if we just wait a little we can clean out the store.
