Thanks I have gone through the details more closely and what you say seems to be correct. Anyway it was a learning,but luckily my position was +30 percent so just closed it today without taking more risks/gamble.
Just out of curiosity what happens if the penalties for cases it face is overturn before the acquisition on 21st May,does that reduce the liability from 392 to something lesser?

It is just BS that the purchase price is the exact amount of debt they have - leaving shareholders with $0

This is interesting. As of the initial filing this seemed like a probably $1/share as Liabilities were $340M but this shows considerably more.
The $25M of secured debt & the $273m of unsecured debt seems really high and honestly makes little sense imo. Their Q3 filing shows their debt of $230M that they refinance in November for no change in principle but added warrants at no cost. (somebody please check to make sure I'm reading this correct. This seems stupid from the companies side as the market was already pricing in bankruptcy so why give this away.)
The only other item in the unsecured debt should be $43M that was related to the $31M X10 lawsuit (assume the differnce is legal fees for both sides). That means debt (secured and unsecured should be ($230+ 43) = $275 not $298M and then if you are going to count the $94M in liabilities why wouldn't the estate keep the assets

Elsewhere it seems they are going off the last 10-Q reporting from September 2023 where they had $325 million in liabilities.

Of course, that would be far more better for shareholders ....

But from what I read the liabilities have increased and that shareholders are left with nothing.

I did some reading (mainly because of the price increase) and see they have $392.6 million bid.

That sounds fantastic!

The problem is the 8-k report filed today says they had total liabilities of $392.5 million as of March 31, 2024.

Honestly, you do expect that a company buying up the assets of a bankrupt company to get a deal .... but it looks like all debtholders will be made whole while shareholders get $0

That is some BS.

Anyways, perhaps you will see this and let me know what you think.

Do shareholders lose everything in Chapter 11 ?
In some cases, shareholders do not receive any compensation for their shares and will lose their investment entirely.

I don't think in this case, specially if they win the appeal which they feel extremely confident about.

If this continues up it will leave to believe that those that know better than I are buying and that I should continue to buy.

No. The preliminary injunction order temporarily blocks NanoString’s ability to market and sell CosMx SMI products for RNA detection within 17 UPC member countries while the case proceeds to a full hearing on the merits. We respectfully believe that the court erred and we are appealing the decision to the UPC Court of Appeal in Luxembourg. The appeal will be heard on December 18, 2023. NanoString Technologies, Inc., (NASDAQ:NSTG) a provider of life science tools for translational research and molecular diagnostic products, today announced that it has received 510(k) clearance from the U.S. Food and Drug Administration (FDA) for its Prosigna(TM) Breast Cancer Prognostic Gene Signature Assay. Based on the PAM50 gene signature, Prosigna is the company's first FDA-cleared in vitro diagnostic assay and uses the gene expression profile of cells found in breast cancer tissue to assess a patient's risk of distant recurrence of disease. The Prosigna Assay is performed using the nCounter(R) Dx Analysis System, which can be placed in qualified laboratories throughout the United States, empowering oncologists and pathologists to quickly and easily meet the testing needs of their breast cancer patients. "Receipt of FDA 510(k) clearance for Prosigna marks a key milestone for NanoString and is an important step forward in the treatment of breast cancer. This achievement is a testament to the ongoing dedication and professionalism of our team, and the commitment of our collaborators," said Brad Gray, President and Chief Executive Officer of NanoString Technologies. "Prosigna illustrates our approach of using nCounter technology to translate genomic discoveries into powerful in vitro diagnostic products, and it represents a significant growth opportunity beyond our robust life sciences research business." The Prosigna Assay is intended for use as a prognostic indicator for distant recurrence-free survival at 10 years, and is indicated for postmenopausal women with Stage I/II lymph node-negative or Stage II lymph node-positive (one to three positive nodes) hormone receptor-positive breast cancer who have undergone surgery in conjunction with locoregional treatment consistent with standard of care. For each patient, the Prosigna Assay reports the Prosigna Score (referred to as Risk of Recurrence Score, or ROR Score, in the scientific literature, including the TransATAC study recently published in the Journal of Clinical Oncology(1)) and a risk category based on both the Prosigna Score and nodal status. Node-negative patients are classified as low, intermediate or high risk, while node-positive patients are classified as low or high risk.
