DURHAM, N.C., March 31, 2023 (GLOBE NEWSWIRE) -- NightHawk Biosciences (NYSE American: NHWK), a fully-integrated biopharmaceutical company focused on developing first-in-class therapies to modulate the immune system, today provided strategic, financial, and operational updates for the year ended December 31, 2022.

2022 Financial Results

• For the year ended December 31, 2022, the Company recognized revenue of $6.4 million, which included $6.0 million of product sales revenue, $0.1 million of contract revenue, and $0.3 million of CPRIT grant revenue. For the year ended December 31, 2021, the Company recognized revenue of $2.1 million for qualified expenditures under the CPRIT grant. The increase in product sales revenue was due to the sale of ANTHIM® (obiltoxaximab) to the Canadian government. The decrease in grant revenue was due to the fact that the Company recognized all $15.2 million of CPRIT grant revenue. For the year ended December 31, 2022, the Company had a grants receivable balance of $1.5 million for CPRIT proceeds not yet received, but for which the costs had been incurred or the conditions of the award had been met.
  
  
• For the year ended December 31, 2022, the Company recognized $6.4 million of cost of sales. No product sales were recognized for the year ended December 31, 2021, and thus no cost of sales was recorded. The increase was due to the cost of sales related to the ANTHIM® (obiltoxaximab) sale to the Canadian government. Cost of sales includes $5.9 million of inventory, $0.3 million of pre-acquisition backlog, and $0.2 million of shipping and fulfillment expenses.
  
  
• Selling, general and administrative (“SGA”) expenses for the years ended December 31, 2022 and 2021 were $21.1 million and $16.8 million, respectively. The increase of $4.3 million was primarily due to an increase in consulting and other professional expenses to manage the business of $3.2 million, an increase in facilities expense of $1.2 million primarily due to the opening of the Company’s San Antonio facility, an increase in personnel expense of $0.8 million due to an increase in headcount, an increase in rent expense of $0.5 million, an increase in insurance expense of $0.3 million, an increase in depreciation of $0.3 million, an increase in marketing expenses of $0.2 million, an increase in software expense of $0.2 million offset by a decrease in stock-based compensation of $2.4 million.
  
  
• Research and development expenses increased to $23.5 million from $16.5 million for the years ended December 31, 2022 and 2021, respectively. HS-110 R&D expense decreased by $1.2 million, HS-130 expense decreased by $0.2 million, and PTX-35 expense decreased by $0.3 million, all due to a decrease in site and investigator fees as a result of the closing of the clinical trials. ANTHIM® (obiltoxaximab) expenses increased due to the Company’s acquisition of Elusys in April 2022. Other program expenses decreased by $0.7 million, including preclinical costs associated with the RapidVax program, T-cell costimulatory programs, and laboratory supplies. Unallocated research expenses increased by $8.2 million primarily from license fees, sponsored research agreements for preclinical research, as well as increased clinical and CMC consulting expenses and Skunkworx lab and personnel costs.

On August 21, 2022, NightHawk Biosciences, Inc., a Delaware corporation (the “Company”), executed a research and development license agreement with Lytic Solutions, LLC (“Lytic”) pursuant to which the Company has agreed to fund a research program for development of a proprietary subunit monkeypox vaccine. The Company will own all monkeypox virus construct sequences conceived, developed or reduced to practice during and in the conduct of the research program. The proprietary Lytic platform that will be used to generate these monkeypox constructs has exhibited immunogenicity and vaccine success against other viral targets in non-human primates. NEWS -- NightHawk Biosciences Provides First Quarter 2022 Business Update

DURHAM, N.C., May 16, 2022 (GLOBE NEWSWIRE) -- NightHawk Biosciences (NYSE American: NHWK), a fully integrated biopharmaceutical company focused on developing first-in-class therapies to modulate the immune system, today provided strategic, financial, and operational updates for the first quarter ended March 31, 2022.

Jeff Wolf, Chief Executive Officer of NightHawk, commented, “We are extremely proud of the progress we have made this quarter to transition NightHawk into a fully-integrated biopharmaceutical company. On the business front, this month we announced the name change to NightHawk Biosciences to better reflect our evolution towards a fully integrated ecosystem that enables more rapid delivery of medical innovations with increased quality and efficiency. First Quarter 2022 Financial Results

• Recognized $0.2 million of grant revenue for qualified expenditures under the CPRIT grant for the quarter ended March 31, 2022 compared to $0.5 million for the quarter ended March 31, 2021. The decrease in grant revenue in the current-year period primarily reflects the expected timing of completion of deliveries under the current phase of the contracts. As of March 31, 2022, we had a grant receivable balance of $1.5 million for CPRIT proceeds not yet received but for which the costs had been incurred or the conditions of the award had been met. We continue our efforts to secure future non-dilutive grant funding to subsidize ongoing research and development costs.
• Research and development expenses were $3.9 million for the three months ended March 31, 2022 compared to $3.4 million for the three months ended March 31, 2021. The increase was primarily due to regulatory consulting and investigator site payments for the ongoing Phase 1 clinical trial for HS-130 as well as unallocated research expenses related to personnel costs, including stock-based compensation from stock awards.
• General and administrative expense was $3.8 million and $4.8 million for the quarters ended March 31, 2022 and 2021. The decrease was due to a decrease in stock-based compensation expense of $2.0 million, partially offset by increased personnel costs of $0.2 million, and increases of $0.3 million for consulting and other professional expenses to manage the business.
• Net loss attributable to NightHawk Biosciences was approximately $8.1 million, or ($0.32) per basic and diluted share for the three months ended March 31, 2022 compared to a net loss of approximately $7.5 million, or ($0.31) per basic and diluted share for the three months ended March 31, 2021.
• As of March 31, 2022, the Company had approximately $84.1 million in cash, cash equivalents and short term investments.

Nighthawk Radiology Services Expands Its Medical Executive Team
Two new highly credentialed members provide extensive medical experience

SCOTTSDALE, Ariz. (March 03, 2010) - NightHawk Radiology Services, the leading provider of radiology solutions to radiology groups and hospitals throughout the United States, has named two new physician leaders to its Medical Executive Team (MET), an influential group of affiliated radiologists who provide valued medical insight to the company and its customers.

Joining the MET are Dr. Samir S. Shah, a board-certified diagnostic radiologist and fellowship trained interventional radiologist, and Dr. Lawrence Bub, a board-certified radiologist with a Certificate of Added Qualification in Neuroradiology. They join the existing physicians comprising NightHawk's Medical Executive Team; Drs. Guy Ross, Brad Snyder, Bill Shea and Doug Rusnack. All members of the MET are part of the more than 135 affiliated radiologists contracted worldwide to provide professional services to NightHawk.

Dr. Shah has won multiple awards for his research in radiology, has authored numerous scientific articles within the radiology literature and is a reviewer for the Journal of Vascular and Interventional Radiology. Dr. Shah serves on several national radiology committees, is a Councilor to the American College of Radiology and currently serves as the president-elect of the Pittsburgh Roentgen Society.

Dr. Bub, who has won regional and national awards for his research in cervical spine trauma and blunt cerebrovascular injury, previously served as director of CT Imaging at Exempla Lutheran Medical Center in Wheat Ridge, Colo. Since becoming a member of NightHawk Radiology, Dr. Bub has served on the company's Peer Review Board and Internal Review Board.
