Westfield Group To Buy Remaining 50% Stake In World Trade Center For $800 Mln

Australian mall operator Westfield Group (WFGPY,WDC.AX) has agreed to acquire the Port Authority of New York and New Jersey's 50 percent stake in the World Trade Center retail premises in New York for $800 million, Westfield and the Port Authority said Wednesday. Following the acquisition, Westfield will own 100 percent of the retail project.

The Westfield Group (ASX: WDC) has established a Level 1 American Depositary Receipt (ADR) program which will permit investors to invest in Westfield Group through a US traded security.

The Westfield ADR is traded on the US over-the-counter market (“Pink Sheets”) and The Bank of New York Mellon acts as the Depositary Bank.

Each Westfield ADR has a ratio of 2:1 – that is, two existing WDC securities for one Westfield ADR.

Westfield Plans to Split Domestic, International Operations

Under today’s proposal, Westfield Retail Trust shareholders will receive A$285 and 918 shares in the new Scentre Group for every 1,000 of their shares. The cash component equates to an A$850 million capital return, according to the statement. Westfield Group shareholders will get 1,000 shares in Westfield Corp. and 1,246 shares in Scentre for every 1,000 securities held.

Westfield to split, Frank Lowy to chair both listed groups

Westfield's Australia and New Zealand business will be merged with spin-off Westfield Retail Trust to create a new entity to be known as Scentre Group, which will dominate the local retail property industry.

The international business will become Westfield Corporation and pursue major developments around the world.

Westfield Group has $37.9 billion worth of malls under management in Australia and New Zealand and $27.6 billion internationally.

Group founder Frank Lowy will chair both groups but after a transition period current Westfield joint managing director Peter Lowy will become a non-executive director.
