GVRP / MAMG - How did it all happen?? What's the story??

A large reverse split followed by a large forward split is not uncommon to reduce shareholders, paying off those that hold fractional shares in cash. The reverse split is followed immediately by the forward split, now for the famous market anomaly GVRP (Gluv Corporation):

Here's the scenario:

GVRP attempted such a tactic and goofed up, the timeline between the RS/FS is over a week apart. The plan seemed to be to spin off Homeland Productions Inc:

Then apply a 1 - 6,500,000 reverse split:

Then forward split the shares 3,000,000 - 1 more than a week later

However, the plan didn't quite work out -- Once the reverse split was performed, the box in level II stayed blank, no MM's since the early morning of 05/17/05. Then, an MM showed up -- EFGI -- on the offer, selling the shares $3.50 to start, WAAAY before Ex-Date 05/23/05.

Then, a PR came out stating it has finalized a Merger Agreement with DigiKidz Holdings, Inc, and has also filed with the State of Florida to change its name to Media Magic, Inc. after effecting the Merger.

Well, it appears the company jumped the gun, thinking they had already forward split the shares and had begun a news release and dump campaign. They sold a total of 34,853 shares; shares that have due bills attached entitling the buyer to the Ex-Date forward split!

Now the company had billions of shares out beginning Monday 05/23/05, just from the shares sold on 05/17/05 alone. They have a mess at hand, calls made confirmed the forward split had not been performed yet, calls to transfer agent showed there were 3 shareholders at the beginning of the day. Shares were sold, and the buyers are having a really fun time, if nothing else, it's worth the entertainment value. Many have bought their admission ticket and having a ball!

Usually it's a tactic to remove shareholders, by creating fractional shares, this basically worked out to previous holders to be a 1-2.2 reverse split. But I threw money into to this just in case these shares selling are coming in short by the MM's or hope a few are making a big mistake selling here, thinking they have forward split shares in their account. If not, the insiders are enjoying this.

There will be an insane amount of shares floating after the forward split, on the sale of the current shares.

I talked to guy at company (GVRP) and he said the list is messed up and that they've notified to get it corrected, he also said they have an incorrect symbol change listed as well. It seems everyone is confused. He said the split list had it wrong, and the company has notified them to have it corrected. Also said that the stock is currently trading post split. Who knows, said he's gotten a lot of calls from a lot of traders and firms about this. I hope he's wrong but just a heads up, he may not know what’s up either. Overall too confusing...

Nothing really can be wrong. Per NASD website (definitive authority) and TA (those in charge of the shares) the ex-dividend date is 5/23. The company and EFGI, for bad advice, are liable for the short position --- SHOULD be no way around that. If they find a way around it .. #1 SEC saying "fu*k you investors" #2 They would (IMO) break all trades with everyone at B/E.

Those SHOULD be the ONLY 2 possible scenarios. It’s completely RICH or B/E and we all know that they are required to cover this position and if EFGI and the company try to sneak around this I would be calling a lawyer.

Lorraine confirms there are 33 million outstanding today. To make long story short, they adjusted their system for the 3 million F/S last Friday the 13th which is record date.

Hard to say, depends on what happened. The TA is correct in saying there are presently 33 million shares outstanding, because there are. However, from a trading standpoint, there are only 11 shares with 32,999,989 shares attatched to them as due bills.

Now the TA could theoreticly replaced a cert evidencing 1 share with a cert evidencing 3 million shares already. But it's a cert for a stock that only starts trading on Monday.

Who's at fault? who knows. Everyone up and down the line will blame someone else, but ultimately I think the onus is on the seller to be aware of what he is selling.

That might fit. While it's the seller's responsibility if he cannot or will not deliver the shares hopefully whomever acted for him is then obligated.

"If you sell your stock before the ex-dividend date, you also are selling away your right to the stock dividend. Your sale includes an obligation to deliver any shares acquired as a result of the dividend to the buyer of your shares, since the seller will receive an I.O.U. or "due bill" from his or her broker for the additional shares."

JB, so the first 11 shares they sold negated the 33,000,000 shares they received in the first place ? Would you agree?

and...

Subsequent sells of the stock in excess of their original 11 shares are then "borrowed" stock that they did not own at pre FS prices and due the 3M to 1 FS as well. They are on the hook to pay the IOU back on the shorted shares + dividend.

So it seems then that all but 33M of the shares on Monday will be Naked Short shares? Would you agree with that?

Man this is crazier than the CMKI fiasco where some brokers had deposited pre FS shares into peoles accounts early and they sold them. That was like a 10-to-1 FS if I remember correctly. That one opened at like .08 cents and ran downward to near .01 cent before it turned and ran back upwards.

Someone should keep good notes and write up the story of GVRP for possible publication. Perhaps the person(s) who own a large chunk(s) could file their 13Ds, and also keep notes for their memoirs. There has been plenty of fodder on this board for a good adventurous account of the Gluv Corporation debacle and its possible downfall. Who knows -- maybe Dateline NBC might be interested? LOL.

I am serious, however, about someone who is knowledgable about trading writing this up. It could be quite mind-opening for the general public.

OK, the company brain trust and the TA get together and file with the NASD so that... first they reverse split everybody out of existence except themselves and their 11 shares...
second they forward split 3 million to one so that they'll have 33 million in their pockets on 13th or the 16th of May so that they can take advantage of that great PR on the 17th and they get EFGI to start selling from the open, no doubt thinking that they have brilliantly screwed the former shareholders and are now putting it to those who have climbed on the bandwagon for this new "media empire" stock per their awesome PR tuesday morning... problem is that both they and the TA (with it's 44 years of experience and currently maintaining the records for 1100 companies!) signed off on the wrong date with the NASD so they still only have 11 shares... doing among other things, breaching the warranty that the securities are genuine (imo)... the brokers take the word of the TA, again IMO, breaching the fiduciary responsibility to their clients that the shares exist and are tradeable..........all JMHO of course :)

There is a difference between not heeding a warning from a stranger and failure to verify with appropriate regulatory agencies the facts. There is no excuse for them not picking up the phone and calling the NASD to verify for sure exactly what the situation was. Stop selling shares. Make the call. If you are correct proceed with trading. Responsible trading lies with the trader. This is particularly true since the insiders knew the OS was tiny and had good reason to wonder why their account might have went from $35,000 to $250 MILLION.

REASONABLE. Hummmm, wonder how reasonable a judge would rule that. Your honor, my stock had increased in value 7142.8 times and I was sure it was due to the brilliant PR I had just put out. What else could it have been ?

With CMKI when something very simliar to this happened traders were made to cover. A 10-to-1 FS (maybe 8 to 1? been along time ago) occurred and several brokers placed shares in traders accounts early. Traders sold their stock near open and it quickly plumetted from .08 to .01 cent.
There are some differences here. With CMKI there were many sellers whereas here there are only a few at most. With CMKI the error was magnified 10 times whereas here it is being magnified 3 MILLION times. With CMKI several brokers were involved whereas here it appears that only one broker is involved.

It is hard for me to imagine how it happened but I have been around the investing world for over 40 years and I'm not often surprised - this one surprised me...lol.

I doubt the TA is at fault, they may have simply delivered stock certs on record date.

I have a stock cert lying around here somewhere for 200,000 shares or so of some stock that has since done a massive R/S but not changed their name. It doesn't give me the right to deposit it with a broker and sell 200K shares when I really only have about 200 shares after the reverse.

The guy at the company said in one conversation "I am not sure why the stock symbol is not correct, I'm trying to fix it" Sorry buddy, that should have been your first clue you were selling something you do not own

and can it be divided by 3? what is the sum of all them digits. If the sum is divisible by 3 then so is the number. I always get confused though with these 2,999,999 dividend plays.

I even went and bought a special calculator with 10 digits and I still get ERRRRRRRRRRRRROR when I try to calculate the short position!
