Fourth Quarter


The 4Q is nearly upon us and the year is almost complete. What has Rambus accomplished to date in 2006?? From the Press Releases:

• Record revenue in Q2
• BoD changes
• new BoD Chairman
• Signed Matsushita License covering SDRAM and DDR SDRAM memory controllers
• Signed Toshiba License covering SDRAM and DDR SDRAM memory controllers
• Achieved 500th Patent Milestone including FlexPhase technology
• Won Patent Infringement Trial Against Hynix including $133M in damages for infringing U.S. sales; all Rambus patent claims in trial found valid and infringed
• Rambus Dynamic Point-to-Point Technology Named Innovation of the Year by EDN Magazine
• Signed Fujitsu License Covering Systems and Semiconductors
• Signed IBM Technology License for Cell Broadband Engine-Based Processors and Companion Chips using FlexIO processor bus and XDR memory technologies
• Signed Enigma Semiconductor License for Advanced Backplane Technology incorporating SmartDFE technology
• Introduced SmartDFE high-speed signaling conditioning technology
• Won Phase 1 of Hynix trial
• Signed Patent License Agreement with AMD for $75M over five years covering all chips except memory

Balance the positives against these negatives:

• No licensing news since the first week of July.
• yet-to-be completed Audit Committee investigation of stock option practices (over 100 days and counting)
• yet-to-be completed Financial Restatements Related to Stock-Based Compensation for years 2003, 2004, 2005, and 1Q 2006
• class action shareholder lawsuits resulting from stock option practices
• yet-to-be announced 2Q Earnings
• potential NASDAQ delisting for missing 10-Q filing date
• no closure on any patent infringement or regulatory litigation

No doubt missed some key events, so feel free to make additions. Not a banner year by any measure, but not a washout either. Mr. Hughes and Team still have a full quarter to tip the scales either way. It has been awful quiet in Los Altos.
