David Stocker finally got back in touch with me today concerning VERD and other shells he operates. He did say that the VERD shell structure (off the top of his head) is very close to numbers reported in the ibox, with A/S being 10 to 15 million and O/S around 5 million. He confirmed that the statute of limitations has indeed expired with regards to the old debt in the shell.

He went on to say that he generally sells his shells between $150 to 200K and all in cash. He does not take shares as part of the deal. The selling price of the shell by no means indicates the value of the stock, as the R/M candidate will usually obtain at least a $1 million market cap if not much more, depending on the company. David states he scrutinizes the R/M candidates thoroughly. Not sure why if he gets all cash, but nevertheless.

One thing about David. Keep in mind I got in touch with him from the point of view as if I were looking for a shell for the chocolate company I previously described. I guarantee if I spoke to him from a potential shareholder point of view, he'd most likely hang up the phone on me. He's interested in doing deals, not playing the role of IR for an empty shell, as he has zero interest in the stock of each one of his shells. That's something to consider.
