ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT On December 23, 2004, Autocarbon, Inc., a Delaware corporation (the"Company"), entered into an agreement with Simon Piers Thurlow ("Thurlow") andcertain purchasers (the "Purchasers"). Pursuant to the Agreement, Thurlow agreedto sell 29,500,000 shares of the Company's common stock, representingapproximately 90% of the outstanding shares, to the Purchasers. In connectionwith the Agreement, Thurlow agreed to appoint a designee of the Purchasers as aDirector of the Company and as President. Thurlow will resign as an officer anddirector of the Company upon the closing of the transaction.


Couldnt find anything on the buyers listed on the SEC filing after doing multiple searches but thye are a Hong Kong company. The tranaction closed on Dec. 27th. I bought at .15 and might buy more on Monday. Unless you want them ... dont want too many eggs in one basket and all. Happy New Year!
