Does anyone know if a REGDEX and a SEC Rule 144 are used together to make this type deal?

"Mellon (OTC:MLON.PK - News) today announced that it a acquired 3,000,000 shares which is less than 5% of Equity Retirement Distributors Canada Ltd. (ERDTF.PK) from Pearl Asian Mining Industries, Inc. (PRMN.PK) in exchange for 500,000,000 newly issued MLON shares subject to SEC RULE 144."

Notice the date of the first REGDEX in relation to the date of the PR.
Could the REGDEX shares, be the 500,000,000 shares mentioned above and if so what is this new REGDEX Filing for?

Does anyone think a PR will be following that sale and will it be for another transaction as the one above?

One other thing, if all the above is true, would it not be in good taste to sincerely apologize to MARIO for saying he was lying about not diluting?
